TERMS and CONDITIONS

1. I understand that as an Amillionaire Global Inc. (hereafter referred to as Amillionaire) Distributor/Associate:
   1. I have the right to offer for sale Amillionaire products, services and raw materials in accordance with these Terms and Conditions.
   2. I have the right to enroll persons in Amillionaire.
   3. If qualified, I have the right to earn commissions pursuant to the Marketing Plan..
2. I agree to present the Marketing Plan, and products and services as set forth in official Amillionaire literature.
3. I agree that as a Distributor/Associate, I am an independent contractor, and not an investor, employee, partner, legal representative, or franchisee of Amillionaire. I agree that I will be solely responsible for paying all that I incur, including but not limited to travel, food, lodging, secretarial, office, long distance telephone, text and other expenses.
4. I have carefully read and agree to comply with the Amillionaire Policies and Procedures and the Marketing Plan, both of which are incorporated into and made a part of these Terms and Conditions (these documents shall be collectively referred to as the “Agreement”). I understand that I must be in good standing, and not in violation of the Agreement, to be eligible for bonuses or commissions. I understand that these Terms and Conditions, the Amillionaire Policies and Procedures, or the Marketing Plan may be amended at the sole discretion of Amillionaire, and I agree to abide by all such amendments.
5. I understand that the Marketing plan does not guarantee earnings or success, and that my success results only from my successful sales efforts, which require hardwork, diligence and leadership. My success will depend on how I will exercise these qualities.
6. I may not assign any rights or delegate my duties under the Agreement without the prior written consent of Amillionare. Any attempt to transfer or assign the Agreement without the express written consent of Amillionaire renders the Agreement voidable at the option of Amillionaire and may result in termination of my independent distributorship.
7. I agree and understand that I am only allowed to refund purchases of products that are in good and salable condition, unused and not tampered with the provision that the company has not computed the commission for the product purchases of a given cutoff. It must also be accompanied with the receipt of the product purchase.
8. I authorize Amillionaire to use my name, photograph, personal story and/ or likeness in advertising or promotional materials and waive all claims for renumeration for such use.
9. I further agree to indemnify, hold harmless and waive all claims to Amillionaire and its officers for any liability, damages, fines, penalties, demands, or other awards arising from my participation in the Marketing Plan and from any unauthorized conduct that I undertake in operating my business.
10. I agree and understand that Amillionaire reserves the right to modify or change the Rules and Regulations, Policies and Procedures, Terms and Conditions, Prices of Products, Literatures, Brochures, Marketing Plan in line with the enhancements of the whole Marketing Program as deemed necessary by the Amillionaire management.
11. The term of this Agreement is one year (subject to prior cancellation for inactivity status pursuant to the Policies and Procedures). If I fail to annually renew my Amillionaire business or if it is canceled or terminated for any valid reason, I understand that I will permanently lose all rights as a Distributor/Associate. I shall not be eligible to sell products, raw materials and services nor shall I be eligible to receive commissions, bonuses, incentives, or other income resulting from the marketing activities of my former downline sales organization. In the event of cancellation, termination or nonrenewal, I waive all the rights I have, including but not limited to property rights, to my former downline organization and to any bonuses, commissions, incentive or other remuneration derived through the sales and other marketing or livelihood or marketing activities of my former downline organization. Amillionaire reserves the right to terminate all Distributor/Associate Agreements upon 30 days if the company elects to: (1) cease business operations; (2) dissolve as a business entity; (3) terminate distribution of its products, raw materials and/or services via direct selling channels. Distributor/Associate may cancel this Agreement at any time, and for any reason, upon written notice to Amillionaire at its principal business address.
12. I understand that if I fail to comply with the Terms and Conditions of the Agreement, Amillionaire may, at its discretion, impose upon me disciplinary action as set forth in the Policies and Procedures. If I am in breach, default or violation of the Agreement at termination, I shall not be entitled to receive any further bonuses, commissions, incentives, whether or not the sales of such bonuses, commissions, incentives have been completed.
13. The Agreement, in its current form and as amended by Amillionaire at its discretion, constitutes the entire contract between Amillionaire and me. Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect.
14. Any waiver by Amillionaire of any breach of the Agreement must be in writing and signed by an authorized officer of Amillionaire. Waiver by Amillionaire of any breach of the Agreement by me shall not operate or be construed as a waiver of any subsequent breach.
15. If any provision of the Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the balance of the Agreement will remain in full force and effect.
16. I understand and agree that I allow the Company to Auto- Deduct any Personal Sales Volume in my Commission/bonuses through my Distributorship Account so as to qualify in the Company marketing plan. I understand that I am personally responsible to fully purchase my PSV if not sufficient to my Auto-deduct Commission/bonuses.
17. I hereby agree that the Terms and Conditions stated herein shall be enforced in court of competence within the jurisdiction wherein the home/head office of Amillionaire Global Inc. licensed and situated.
